    Smarter Web Company Plans First UK Bitcoin-Backed Preferred Shares

    The Smarter Web Company confirmed plans for a new class of preferred shares tied to its Bitcoin holdings. The UK firm disclosed the move in a Regulatory News Service announcement on September 11, 2026. 

    Approval from the Financial Conduct Authority remains a condition before any listing proceeds. The company already holds the largest public Bitcoin treasury in the United Kingdom.

    Smarter Web Company Eyes £15-25 Million Bitcoin Treasury Raise

    The reserved ticker for the new instrument is “MORE.” 

    The company expects to raise between £15 million and £25 million if the offering goes ahead. Proceeds would support the firm’s ongoing Bitcoin accumulation strategy, known internally as its 10-Year Plan. 

    The Smarter Web Company describes the shares as a potential first.

    No other UK-incorporated company has issued a sterling-denominated, London Stock Exchange Main Market perpetual preferred share backed by a Bitcoin treasury. That claim sits at the center of Wednesday’s announcement.

    CEO Andrew Webley called the announcement an important step for the company. He said the Preferred Shares would broaden the pool of investors able to back the firm.

    Webley added that the structure gives the company more flexibility across different market conditions.

    The Smarter Web Company started out as a web design business. It has since built a Bitcoin position of roughly 2,747 BTC. That holding now makes it the UK’s biggest publicly listed corporate Bitcoin holder.

    Preferred Share Terms and General Meeting Details

    The prospectus still needs FCA sign-off before the possible IPO can move forward. Once approved, the company said it will publish the prospectus and issue a further update. Shares would trade on the non-equity and non-voting equity category of the Official List.

    If issued, the Preferred Shares carry a cumulative variable rate weekly dividend. 

    Holders would also receive a liquidation preference ahead of ordinary shareholders. The company retains the right to redeem the shares at its discretion.

    Unlike Ordinary Shares, the Preferred Shares carry no voting rights at general meetings. That distinction separates MORE holders from existing Smarter Web Company shareholders.

    Alongside the RNS update, the company posted a circular for a General Meeting of Ordinary Shareholders. The meeting is set for September 28, 2026, at 10:00 a.m. It will take place at 160 Aztec West, Almondsbury, Bristol. Ordinary shares carry a nominal value of £0.001 each.
